1. Introduction
These Terms and Conditions govern the provision of SMS services offered by SBS Solutions, a subsidiary of SBS Telecom Limited. By using our services, you agree to these terms. Please read them carefully.
2. Definitions
- Company: SBS Solutions, operating under SBS Telecom Limited.
- Service(s): Includes bulk SMS, voice messaging, SMS API, and other related solutions provided by the Company.
- User/Client: Any individual, organization, or entity utilizing our SMS services.
- Content: Any text or media transmitted via our SMS services.
3. Service Scope
- Coverage: SMS services are available globally, subject to the availability of network operators.
- Usage: Services must only be used for lawful purposes and in compliance with the Company’s guidelines and local regulations.
4. Account Management
- Registration: Clients must provide accurate and complete information during registration.
- Account Security: Users are responsible for maintaining the confidentiality of their account credentials and all activities conducted under their account.
- Account Termination: The Company reserves the right to suspend or terminate accounts for violations of these terms or misuse of services.
5. Message Content and Delivery
- Permitted Content: Users must ensure that all SMS content complies with applicable laws, including but not limited to anti-spam and privacy regulations in Sri Lanka, the UK, and any other jurisdiction where the messages are delivered.
- Prohibited Content: The transmission of abusive, defamatory, offensive, or illegal content is strictly prohibited.
- Delivery Rates: While SBS Solutions strives for high delivery rates, delivery depends on factors beyond our control, including network availability and recipient device compatibility.
6. Pricing and Payment
- Pricing: Service fees are outlined in the Client’s agreement and are subject to applicable taxes in Sri Lanka and the UK.
- Payment Terms: Services are prepaid unless otherwise agreed. Late payments may result in service suspension.
- Refund Policy: Payments for services are non-refundable unless the failure is directly caused by the Company.
7. Data Privacy and Security
- Data Protection: SBS Solutions complies with the UK GDPR and Sri Lankan data protection regulations to ensure the confidentiality and security of user data.
- User Responsibility: Users must secure the consent of their recipients before sending messages.
- Data Sharing: The Company will not share user data with third parties without explicit consent, except where required by law.
8. Limitation of Liability
- SBS Solutions is not liable for any indirect, incidental, or consequential damages resulting from the use or inability to use our services.
- The Company’s liability is limited to the amount paid for the specific service that gave rise to the claim.
9. Indemnification
Users agree to indemnify and hold harmless SBS Solutions against any claims, damages, or expenses resulting from the misuse of services or violations of these Terms and Conditions.
10. Service Availability and Maintenance
- Uptime Commitment: The Company endeavors to provide reliable services with minimal interruptions.
- Maintenance: Scheduled maintenance will be communicated in advance, and the Company is not liable for interruptions during maintenance periods.
11. Force Majeure
SBS Solutions shall not be held liable for delays or failure in performance due to events beyond its reasonable control, including but not limited to natural disasters, acts of government, network outages, or other force majeure events.
12. Modifications to Terms
The Company reserves the right to amend these Terms and Conditions at any time. Significant changes will be communicated to users via email or platform notifications.
13. Governing Law and Jurisdiction
These Terms and Conditions shall be governed by the laws of Sri Lanka and the United Kingdom, depending on the user’s jurisdiction. Any disputes will be subject to the exclusive jurisdiction of the courts in Colombo, Sri Lanka, or London, United Kingdom.
